These Terms and Conditions (the Terms) govern your access to and use of GitRescue's websites, hosted GitHub backup service, software, and related services (together, the Service).
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you use the Service for a business or another organization, you confirm that you have authority to accept these Terms for that organization. In that case, you and your refer to that organization as well as its authorized users.
If you do not agree to these Terms, do not use the Service.
1. Who may use GitRescue
You must be at least 18 years old and legally able to enter into a contract. You may use the Service only in compliance with applicable law and these Terms.
You must provide accurate account information, keep it current, and protect your password, recovery codes, and other credentials. You are responsible for activity under your account and for ensuring that everyone you authorize to use the Service follows these Terms. Use the support contact shown in Settings after signing in if you believe an account or credential has been compromised.
2. What the Service does
GitRescue connects to GitHub with the permissions you approve. Depending on your plan and configuration, the Service may discover selected repositories, create and retain encrypted backups, provide status and failure alerts, prepare downloadable exports, and restore repository data to GitHub.
The features, backup frequency, retention period, repository limits, and other allowances included in your plan are described on our website or in an order agreed with you. We may improve or change the Service over time. We will not materially reduce a paid plan's core functionality during its current billing period without a reasonable operational, security, or legal reason.
GitHub is a separate service. GitRescue is not affiliated with or endorsed by GitHub, and GitHub's terms and availability also apply to your use of GitHub.
3. Your repositories and content
Customer Content means repository contents, Git history, metadata, and any other data that you or your authorized users direct the Service to access, back up, export, or restore.
You retain your rights in Customer Content. You give GitRescue a limited, non-exclusive, worldwide right to access, copy, transmit, encrypt, store, decrypt, export, restore, and delete Customer Content only as needed to provide, secure, maintain, and support the Service; comply with your instructions; enforce these Terms; and meet legal obligations. This permission ends when the relevant Customer Content is deleted from our systems, subject to limited retention required by law or in system backups.
You are responsible for Customer Content and for deciding which repositories GitRescue may access. You confirm that:
- you are authorized to connect each repository and instruct GitRescue to copy, store, export, and restore its contents;
- backing up, storing, exporting, and restoring Customer Content through the Service does not violate any law, contract, confidentiality duty, privacy right, intellectual property right, or GitHub rule; and
- you will give any notices and obtain any permissions required from your users, employees, contractors, customers, or other individuals whose data appears in Customer Content.
GitRescue does not claim ownership of Customer Content, endorse it, or routinely inspect it. The fact that the Service stores a backup does not mean that GitRescue has reviewed or approved its contents.
4. Prohibited content and conduct
You must not use the Service to access, store, transmit, back up, export, restore, or facilitate:
- child sexual abuse material, sexual exploitation of a minor, or any content that sexualizes or endangers a minor;
- content or activity that is unlawful, fraudulent, threatening, abusive, or that promotes serious harm;
- malware, credential theft, unauthorized access, disruption, or attacks on systems or networks;
- infringement or misappropriation of intellectual property, privacy, publicity, confidentiality, or other rights;
- evasion of sanctions, export controls, court orders, or lawful investigations; or
- any attempt to probe, bypass, disable, overload, or interfere with the Service's security, limits, or operation.
You must not resell, rent, or provide the Service to third parties unless we have agreed to it in writing. You must not use automated means to access the Service except through interfaces we provide or authorize.
We may investigate suspected violations. We may preserve, restrict access to, remove, or disclose Customer Content and account information when reasonably necessary to protect people or the Service, enforce these Terms, respond to valid legal process, or comply with law. If we become aware of apparent child sexual abuse material or child sexual exploitation, we may suspend the account, preserve relevant information, and report it to the appropriate authorities or reporting body as required or permitted by law.
Nothing in these Terms requires GitRescue to proactively monitor Customer Content, and we do not assume a general duty to do so.
5. Backups and restores
We built GitRescue to reduce the risk of losing repository data, but no backup system can eliminate every risk. A backup may be delayed, incomplete, corrupted, unavailable, or fail because of repository size or state, permission changes, GitHub or infrastructure outages, software defects, network failures, human error, force-pushes, malicious activity, or events outside our reasonable control.
GitRescue therefore does not guarantee that:
- every repository or every type of GitHub data will be backed up;
- every change will be captured before it is changed or deleted;
- every backup will complete at a particular time;
- a particular restore point will remain available beyond its stated retention period; or
- every export or restore will be complete, error-free, or suitable for your purpose.
GitRescue should be one layer in a sound recovery plan. You are responsible for selecting an appropriate plan, watching backup and permission alerts, checking that expected repositories and restore points appear, testing recovery where appropriate, and keeping any independent copies required by your risk profile, contracts, or law.
Restoring to an existing repository can replace or remove branches, tags, or other refs. You are responsible for selecting the correct source and destination, reviewing warnings, maintaining any pre-restore copy you need, and confirming any destructive restore action.
6. Retention and deletion
GitRescue automatically prunes backup versions according to your plan's retention policy. Deleted or expired restore points may not be recoverable. Removing a repository from the GitHub App, disconnecting GitHub, losing permissions, exceeding plan limits, cancelling a subscription, or closing an account may stop new backups and may result in Customer Content being deleted.
When you close your account, GitRescue will delete the account and backup data belonging to any personal workspace that closes with it from active systems. Data owned by an organization that continues to use GitRescue remains under that organization's control. Some information may remain for a limited period in security, disaster-recovery, or financial records, or where retention is required to establish legal claims, prevent fraud or abuse, comply with law, or respond to lawful orders. Residual copies are not returned to active use and are removed or overwritten through normal retention cycles.
Before disconnecting, cancelling, or closing an account, download anything you need to keep. We are not responsible for Customer Content deleted in accordance with your instructions, your plan, these Terms, or applicable law.
7. Security
We use reasonable technical and organizational safeguards designed to protect the Service and Customer Content. Hosted repository backup artifacts are encrypted in transit and at rest, including with per-backup envelope encryption. However, no internet service, encryption system, or storage system is completely secure. We cannot guarantee that unauthorized access, loss, or a security incident will never occur.
You are responsible for using available security features, maintaining secure GitHub and GitRescue accounts, limiting access to authorized people, and promptly removing access that is no longer needed.
8. Subscriptions and billing
Prices, billing intervals, plan features, and applicable taxes are shown before purchase. Paid subscriptions renew automatically each month or year, according to the billing interval you select, until cancelled. Stripe processes self-service payments, and its terms may also apply to the payment transaction.
You authorize us and Stripe to charge the payment method on file for recurring fees, taxes, and any amounts you approve. If payment fails or a subscription expires, we may limit or suspend paid features and stop creating new backups.
You may cancel through the billing portal or by contacting support. Cancellation takes effect at the end of the current paid billing period. You will retain access to the paid plan until then, and the subscription will not renew. Fees are non-refundable except where required by law.
We may change prices for a future renewal by giving reasonable advance notice. Price changes do not affect a billing period you have already paid for.
9. Third-party services
The Service relies on third-party services, including GitHub, payment processing, cloud hosting, storage, encryption key management, email delivery, security, and analytics providers. Their systems may be unavailable, changed, or discontinued. We are not responsible for third-party services, content, or acts, but we remain responsible for our own obligations under these Terms and applicable law.
You authorize GitRescue to exchange information with GitHub and other providers as needed to perform the actions you request. You are responsible for maintaining any third-party account, license, or permission the Service requires.
10. GitRescue's rights
GitRescue and its licensors own the Service, including its branding, user interface, hosted systems, and software, except for Customer Content and components offered under a separate open-source license. These Terms do not transfer any GitRescue intellectual property to you.
You may give us feedback. If you do, you allow us to use it without restriction or payment, but we will not identify you publicly as its source without permission.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if:
- you materially or repeatedly violate these Terms;
- your use creates a security, legal, or operational risk;
- payment is overdue;
- a third-party dependency or law prevents us from providing the Service; or
- continuing the Service is no longer commercially practical.
Where the issue can reasonably be fixed, we will usually give notice and an opportunity to fix it. We may act immediately where necessary to prevent harm, respond to unlawful content, protect the Service or others, or comply with law.
Sections that by their nature should continue after termination—including those about Customer Content responsibility, fees, intellectual property, disclaimers, liability, indemnity, and disputes—will survive.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided as is and as available. GitRescue disclaims implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, and any warranty arising from a course of dealing or usage of trade.
We do not warrant uninterrupted or error-free operation, permanent storage, or that the Service will meet every legal, regulatory, archival, or business-continuity requirement. No statement outside these Terms creates a warranty unless GitRescue expressly agrees to it in writing.
These disclaimers do not limit warranties or rights that applicable law does not allow us to exclude.
13. Limitation of liability
To the maximum extent permitted by law, GitRescue will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data, even if we were told that the loss was possible.
If you use the Service for a business or organization, then, to the maximum extent permitted by law, GitRescue's total liability arising out of or relating to the Service or these Terms will not exceed the amount you paid GitRescue for the Service during the 12 months immediately before the event giving rise to the claim.
These limits apply regardless of the legal theory and apply collectively to GitRescue and the people and providers working on its behalf. They do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot legally be limited or excluded. If you are a consumer, GitRescue's liability is limited only to the extent permitted by applicable law, and nothing in these Terms removes mandatory consumer rights.
14. Indemnity
If you use the Service for a business or organization, you will defend and indemnify GitRescue against third-party claims, damages, losses, and reasonable costs arising from Customer Content, your violation of these Terms or law, or your infringement of another person's rights. This does not apply to the extent a claim was caused by GitRescue's breach of these Terms, negligence, or wilful misconduct.
15. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, security practices, or our business. We will post the updated Terms and change the date above. If a change materially affects your rights, we will give reasonable advance notice through the Service or by email where practical.
Changes apply from their stated effective date. If you do not agree to a material change, you may stop using the Service and cancel before it takes effect. Continued use after the effective date means you accept the revised Terms.
16. General terms
Neither party is liable for delay or failure caused by events outside its reasonable control, except for payment obligations.
You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, reorganization, or sale of the Service, provided the successor assumes our obligations.
If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, the plan description, and any written order between you and GitRescue form the entire agreement for the hosted Service and replace earlier discussions about it. If an order expressly conflicts with these Terms, the order controls for that conflict.
These Terms do not create a partnership, agency, employment, or joint venture. Disputes are subject to the courts and laws that have jurisdiction under applicable law. Mandatory consumer rights and any right to bring a claim in your home courts remain unaffected.
